1. Agreement to Terms
By engaging Petelin Advisory Pty Ltd ("Petelin Advisory", "we",
"us", or "our") for advisory services, you ("Client", "you", or "your") agree to be
bound by these Terms and Conditions. These terms constitute a legally binding
agreement between you and Petelin Advisory.
2. Services
Petelin Advisory provides go-to-market strategy consulting services for financial
services and fintech companies, including but not limited to:
Specific services will be outlined in individual engagement letters or statements of work, which will form part of this agreement.
3. Engagement and Scope
Each engagement will be governed by a separate engagement letter or statement of
work that details:
In the event of any conflict between these Terms and Conditions and an engagement letter, the engagement letter will prevail.
4. Fees and Payment
4.1. Fees for services will be specified in the relevant engagement letter.
4.2. Unless otherwise agreed, invoices are payable within 14 days of the invoice
date.
4.3. Late payments may incur interest at a rate of 10% per annum calculated daily.
4.4. All fees are exclusive of GST unless otherwise stated. Where applicable, GST
will be added to invoiced amounts.
4.5. Out-of-pocket expenses incurred in the provision of services may be charged to
the Client with prior approval.
5. Client Obligations
5.1. The Client will provide timely access to relevant information, personnel, and
resources necessary for Petelin Advisory to perform the services.
5.2. The Client is responsible for the accuracy and completeness of information
provided to Petelin Advisory.
5.3. The Client will provide timely feedback and approvals as required for project
progression.
6. Intellectual Property
6.1. Pre-existing intellectual property owned by Petelin Advisory remains our
property.
6.2. Deliverables created specifically for the Client under an engagement will be
transferred to the Client upon full payment of fees, unless otherwise specified in
the engagement letter.
6.3. Petelin Advisory retains the right to use general knowledge, methodologies, and
approaches developed during the engagement for other clients.
6.4. The Client grants Petelin Advisory permission to reference the engagement in
general terms for business development purposes, unless confidentiality provisions
specify otherwise.
7. Confidentiality
7.1. Both parties agree to maintain the confidentiality of information disclosed
during the engagement that is marked as confidential or would reasonably be
considered confidential.
7.2. Confidential information may be disclosed if required by law or regulatory
authority.
7.3. Either party may disclose confidential information to advisors and service
providers who are bound by confidentiality obligations.
7.4. Confidentiality obligations survive termination of the engagement.
8. Limitation of Liability
8.1. Petelin Advisory provides advisory services based on information available at
the time and prevailing market conditions.
8.2. To the maximum extent permitted by law, Petelin Advisory's liability for any
claim arising from services provided is limited to the fees paid for those specific
services.
8.3. Petelin Advisory is not liable for indirect, consequential, or special damages
including loss of profits, business interruption, or loss of business opportunity.
8.4. Nothing in these terms limits liability for fraud, gross negligence, or breach
of non-excludable statutory warranties.
8.5. The Client acknowledges that regulatory environments are subject to change and
that advice provided is based on current understanding of applicable regulations.
9. Regulatory Advice Disclaimer
9.1. Where Petelin Advisory provides advice regarding regulatory matters, such advice
is general in nature and should not be construed as legal advice.
9.2. Clients are responsible for obtaining independent legal advice regarding
regulatory compliance in their specific circumstances.
9.3. Petelin Advisory does not provide legal services and is not a licensed legal
practitioner.
10. Termination
10.1. Either party may terminate an engagement with 14 days' written notice.
10.2. Upon termination, the Client remains liable for fees for services rendered up
to the termination date.
10.3. Termination does not affect clauses intended to survive termination, including
confidentiality, intellectual property, and dispute resolution provisions.
11. Dispute Resolution
11.1. If a dispute arises, the parties agree to first attempt resolution through good
faith negotiation.
11.2. If negotiation fails, the parties agree to mediation before pursuing
litigation.
11.3. Mediation will be conducted in Sydney, New South Wales, Australia under the
Australian Disputes Centre mediation rules.
12. Governing Law and Jurisdiction
12.1. These Terms and Conditions are governed by the laws of New South Wales,
Australia.
12.2. The parties submit to the exclusive jurisdiction of the courts of New South
Wales, Australia.
13. General Provisions
Amendment: These Terms and Conditions may be amended by Petelin Advisory with 30
days' notice to active clients. Continued engagement after notice constitutes
acceptance of amended terms.
Assignment: Neither party may assign rights or obligations under this agreement
without the other party's written consent.
Force Majeure: Neither party is liable for failure to perform obligations due to
circumstances beyond reasonable control.
Entire Agreement: These Terms and Conditions, together with any engagement letter,
constitute the entire agreement between the parties.
Severability: If any provision is found unenforceable, the remaining provisions
continue in full force.
Waiver: Failure to enforce any provision does not constitute a waiver of that
provision.
Notices: Notices must be in writing and sent to the email address provided by each
party.
14. Privacy
Petelin Advisory collects and handles personal information in accordance with the
Privacy Act 1988 (Cth) and the Australian Privacy Principles.
Personal information will only be used for the purpose of providing services and
managing the client relationship.
Our Privacy Policy, available on our website, provides additional detail on how we
handle personal information.
15. Professional Indemnity Insurance
Petelin Advisory maintains professional indemnity insurance appropriate to the
services provided.
